On February 9, 2026, Churchill Capital Corp IX, a Cayman Islands exempted company (“Churchill”), and Plus Automation, Inc, a Delaware corporation (“PlusAI”), issued a joint press release announcing the postponement of Churchill’s extraordinary general meeting of shareholders to vote upon the proposed business combination between Churchill and PlusAI from February 11, 2026 to April 15, 2026, or such other date to be determined and announced by Churchill based on market conditions and the timing of the completion of PlusAI’s year-end 2025 audit. The press release is furnished as Exhibit 99.1 and incorporated by reference into this Item 7.01.
