Paramount Global operates as a media, streaming, and entertainment company worldwide. It operates through TV Media, Direct-to-Consumer, and Filmed Entertainment segments. The TV Media segment operates CBS Television Network, a domestic broadcast television network; CBS Stations, a television station; and international free-to-air networks comprising Network 10, Channel 5, Telefe, and Chilevisión; domestic premium and basic cable networks, such as Paramount+ with Showtime, MTV, Comedy Central, Paramount Network, The Smithsonian Channel, Nickelodeon, BET Media Group, and CBS Sports Network; and international extensions of these brands. This segment also offers domestic and international television studio operations, including CBS Studios, Paramount Television Studios, and Showtime/MTV Entertainment Studios; CBS Media Ventures, which produces and distributes first-run syndicated programming; and digital properties consisting of CBS News Streaming and CBS Sports HQ. The Direct-to-Consumer segment provides a portfolio of domestic and international pay and free streaming services, including Paramount+, Pluto TV, BET+, and Noggin. The Filmed Entertainment segment produces and acquires films, series, and short-form content for release and licensing around the world, including in theaters, on streaming services, on television, through digital home entertainment, and DVDs/Blu-rays; and operates a portfolio consisting of Paramount Pictures, Paramount Players, Paramount Animation, Nickelodeon Studio, Awesomeness, and Miramax. It also offers production, distribution, and advertising solutions. The company was formerly known as ViacomCBS Inc. and changed its name to Paramount Global in February 2022. The company was founded in 1914 and is headquartered in New York, New York. Paramount Global is a subsidiary of National Amusements, Inc.

$PARA If a company had a chairman who was deliberately destroying a company despite owning only 10% of it, there must be a way to have that person removed. Shari has caused more damage in the past four years than any other chairman in the history of public companies. It's time to explore mental health laws regarding her removal.

$PARA @Cedenmo Out of all Paramount deal media new leak articles spurred by various Public Relations firms hired by NAI / Shari, PARA Special Committee and DE / Redbird, not 1 reporter provided any detail on the sum of the parts value for NAI. NAI has a viable international cinema circuit business in ?? locations with 1,500 screens. Based on the Alamo sale, this translates to NAI screens worth $952 million. If shari was being offered $2.5b, $2.25b, $2b, $1.7b for NAI depending on who reported the Bid, what portion of that number was $$$ for the NAI Cinema Circuit assets / cash flows? Did the media unfairly Over report what Shari would have actually received for her PARAA A Shares? I am only pointing out bad reporting or the failure of any of us posters to recognize this discrepancy and flush it out.

$PARA Clarification >> I know Alamo Drafthouse article mentioned 35 locations but leaves out # of screens. According to a 2023 report (2022 data), Alamo had 38 locations and 315 screens or roughly 8 screens per location. This is important for our analysis. NAI has 1,500 screens but location number is much less. You bring up a valid point on real value of NAI + PARAA which I will broach in a new post. $PARA I wouldn't bank on S/A to come to the rescue. Changing ownership of NAI has also no impact on PARA's business. What is crucial is that the 3 co-heads have made it clear that they will cut costs and divest assets to pay down debt. Logically, they will restart discussion with Tyler Perry, who has a minority stake in BET+, to buy BET Media Group. Perry has said he felt disrespected the way PARA handled the scrapped sale process last year. Now that Bakish is fired, this issue should be gone. BET's 2022 revenue was $1.5 billion (2023 revenue unknown), a sale price of $1.5 billion would be attractive for Perry or Byron Allen. Together with $0.517 billion from the sale of Viacom18, PARA can retire $2B of debt. The next debt due ($0.5 billion) will be 5 years away on 6/1/2029. That will guarantee a debt upgrade by S&P and give PARA+ time to scale/form partnerships with other steamers, as the three co-heads indicated. With that, I will add more if it dips below $10 on Monday.

$PARA Skydouche seem to have their own liquidity issues and their financials look shaky. Paramount was going to solve it all by injecting 5 billion into a company worth at best 800,000 million. Just my 2cents.

$PARA I guess I’ll sell the $10 puts now and keep selling covered calls weekly. The call premiums suck if you’re selling but it’s generating weekly income. I guess I can’t complain. Who else is doing this? I’m generating about $750 now a week instead of my $1,000-1,500 a few weeks ago which was for almost 4 months. We need some rumors or some positive buzz to get them option premiums cranking again.

$PARA Sony pays $200M for 35 Alamo theaters, or just under $6M/theater. NAI owns 1,500 theaters. That’s $9B assuming similar operating models. How desperate is Shari that she’s entertaining $2B for theaters plus PARA shares? 😬 She can’t close/sell 10, 25, 50% of theaters to pay off her debts? But my reasons for looking all that up were: 1. To see how long those negotiations took (both sides managed to remain very quiet until the end which is usually how these deals work; you don’t say you’re entering negotiations and then leak shitty details along the way). 2. In the event NAI is bundled in a PARA transaction (as was proposed via Skamdance), wanted a way to figure out what was being paid for the theaters vs the shares to ensure shareholders getting maximum value.

$PARA The way I see it S/A would not have made a tentative 26B offer and go through the NDA process if they weren’t serious about a purchase. While the sh price is falling like a rock it doesn’t change the value of the assets in PARA (the business).
