$MAXN so MAXN sold their minority stake in HSPV for $24 million. they licensed their P series for manufacturing, selling, and installation anywhere (except the US and DG worldwide) for $10 million. the licensee agrees to provide DG panels exclusively to MAXN at a pre-determined price (price schedule not attached in the filing). the licensee agrees to share the cost of IP protection with MAXN and will also receive their share of royalties/settlements from infringement rulings. it also stipulates a technical collaboration agreement where MAXN can leverage the licensees manufacturing resources for continuous improvements to their licensed technology. finally they terminated their old supply agreement with HSPV and TZE and entered into a new one with them to exclusively supply DG panels to MAXN. in a nutshell, it seems to me they're getting the cost and scale of chinese panels with MAXN quality and a partner to bear the financial overhead and risk of protecting and selling this technology

$MAXN I think important message in this deal is TCL is behind Maxeon, they do have capital and understand the value of US/EU distribution channel and patent portfolio (new licensing agreement is shared revenue from enforcement outside of U.S.). Still, EU Solar market must wake up and DOE loan needs to come through. Both in my opinion just matter of time.

$MAXN So they raised $44M (34 from selling minority interest and 10 in prepaid licensing fees). Selling assets is the right move now that equity path is closed due to low valuation. That would definitely buy some time and give them access to cost-effective panels instead of operating own obsolete fab in Philippines. Waiting for DG market in EU to wake up.

$MAXN Maxeon Solar Technologies, Ltd. sold its minority stake in Huansheng Photovoltaic (HSPV) to a subsidiary of TCL Zhonghuan Renewable Energy Technology Co. Ltd. (TZE), its largest shareholder, for about $34 million. As part of the deal, Maxeon also granted a new intellectual property license to TZE for developing and selling certain solar modules. Additionally, they terminated several previous agreements and entered into a new master supply agreement with HSPV and Huansheng New Energy (HSNE) for the supply of rooftop size solar modules. This transaction is detailed in various agreements included in the report, which is now incorporated into Maxeon's official filings with the Securities and Exchange Commission.
